Terms of Service Agreement
Welcome to Webemerg! These Terms of Service (“Terms”) govern your use of our website, managed website subscription, optional add-ons, client portal, and all related offerings. By subscribing to Webemerg, creating an account, purchasing an add-on, or otherwise accessing our platform, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you may not access or use our services.
Webemerg, Inc. reserves the right to update or modify these Terms at any time. If we make significant changes, we will notify active clients. Continued use of our services after such updates constitutes acceptance of the revised Terms.
By subscribing to Webemerg’s managed website service, you agree to recurring billing on a monthly basis. Your payment method will be charged automatically on that day each month based on the original date of your subscription, plus any active add-ons connected to your account.
You may cancel your subscription at any time. Upon cancellation, your subscription will remain active until the end of your current billing cycle. After the billing cycle ends, your website will be taken offline.
Webemerg uses a subscription-based model to deliver full-service website design and management at a fraction of traditional upfront design costs. This includes custom design, content updates, maintenance, security, and hosting, all fully managed by our team within the scope of your subscription and any active add-ons.
When your subscription ends, your site is no longer supported or hosted on our platform. However, to offer flexibility, we will store a data file of your website for 30 days after your cancellation. If you decide to re-subscribe within this time, your site can be restored without requiring a full rebuild.
Please note: Your subscription provides access to a fully managed website service; it does not include ownership or transfer of website files, source code, or hosting rights. All website assets remain under the management and control of Webemerg as part of our subscription model.
Due to the nature of our work and the immediate resources deployed at the time of signup, all payments are non-refundable unless otherwise specified in writing.
If your business type falls under a restricted category (see Section 7), and you subscribed without prior approval, you will be refunded the subscription amount minus a $25 processing fee once your project is declined.
If payment is not received within 5 days of your billing date, your website will be temporarily suspended. During this time, your site will display a suspension notice and will not be publicly accessible.
If payment is not received within 30 days, your website and all associated data will be permanently deleted from our servers. If you wish to return after this, you are welcome to re-subscribe, but your site will need to be rebuilt from scratch. No additional fees will be charged beyond the active monthly subscription and any selected add-ons, but standard build timelines will apply.
You may add, remove, or adjust available add-ons when appropriate, subject to current pricing, billing rules, scope limitations, and implementation timing. Add-ons are connected to the core managed website subscription and are not standalone services.
If a requested feature goes beyond the core plan or the listed scope of an available add-on, Webemerg may require a custom scope review, custom pricing, or may decline the request if it falls outside the services we currently offer.
All fees are inclusive of applicable taxes. Webemerg currently serves U.S.-based businesses and organizations only, so no additional tax calculations are required at checkout.
Your managed website subscription includes one custom domain. If you do not already own a domain, Webemerg will register your desired domain name, subject to availability, and manage it on your behalf under our registrar account.
If you already own a domain, Webemerg may recommend transferring it to Webemerg’s registrar so your domain can be managed under your subscription and help reduce separate registrar billing. However, domain transfer is not required.
If you prefer to keep your domain with your current registrar, you are responsible for maintaining renewal, billing, account access, and any registrar requirements there. You may also need to provide Webemerg with access or instructions needed to connect the domain to your Webemerg-managed website.
You retain ownership of your domain whether it is registered through Webemerg, transferred to Webemerg’s registrar, or kept with your current registrar.
If your domain is managed by Webemerg and you cancel your subscription, your domain will remain yours. However, it will no longer be covered under your subscription and may convert to annual domain billing based on the then-current renewal rate for the domain extension.
If your domain remains with an outside registrar, Webemerg is not responsible for that registrar’s renewal fees, billing notices, expiration policies, account access, or redemption fees.
If your domain is managed by Webemerg and your subscription is canceled, you may request a transfer of your domain to another registrar at any time. To initiate this, email support@webemerg.com and request your transfer code (EPP code). There is no fee from Webemerg for the transfer, but the new registrar may require renewal payment.
If you kept your domain with your own registrar, no domain transfer from Webemerg is needed after cancellation. You remain responsible for updating DNS, nameservers, billing, renewal, and registrar settings as needed.
For domains managed by Webemerg, failure to pay any required domain renewal or applicable post-cancellation domain billing may result in expiration based on the domain’s renewal date.
Webemerg is not responsible for loss of domain ownership due to non-payment, missed renewal deadlines, loss of registrar access, or delayed transfer requests after cancellation. If your domain is kept with an outside registrar, you are fully responsible for keeping that domain active and in good standing.
Webemerg offers one core managed website subscription designed to provide a professionally built, hosted, secured, updated, and supported website under a clear monthly service model.
The core subscription includes the standard website setup and ongoing management features published on our website at the time of purchase. This may include website design and build, managed hosting and SSL, security, updates, backups, standard content support, on-page SEO setup, standard forms and lead capture, and other included website features listed in the current offer.
Some businesses need more than the core subscription. Webemerg may offer optional add-ons that expand the functionality of your website while keeping the core managed website subscription as the foundation.
Available add-ons may include, but are not limited to:
Add-ons are not standalone services and must remain connected to an active Webemerg managed website subscription. Add-on pricing and availability may change over time and may be subject to standard scope limitations.
The core subscription is intended for standard business website needs. This includes straightforward website pages, standard contact or lead forms, standard booking or store setup where included, and normal website content updates.
More advanced needs may require an add-on or custom scope review. Examples include larger product catalogs, complex product variations, advanced booking workflows, multi-location scheduling, restaurant-specific ordering or menu flows, advanced CRM workflows, SMS automation, protected content, memberships, courses, custom checkout fields, custom integrations, or specialized functionality not listed in the core subscription.
Anything beyond the published core plan or selected add-on scope may require custom pricing or may be declined if it falls outside the services Webemerg currently offers.
Each Webemerg website is professionally built and personalized around your business goals, branding, and submitted content. However, specific features, functionality, and integrations are limited to the core subscription scope and any selected add-ons.
We do not guarantee custom functionality unless it is clearly included in the published core plan, included in an active add-on, or approved in writing as part of a custom scope. Webemerg may decline, modify, or quote separately for requests that fall outside standard scope.
Webemerg’s managed website subscription is fully handled by the Webemerg team, including design, development, updates, hosting, maintenance, and support within scope. Clients do not receive administrative access, editing privileges, or control over the backend. This service is best suited for businesses who prefer a done-for-you experience, not for those seeking DIY access or independent site management.
What We Are. Webemerg is a website design and development provider offering fully managed websites. Our work includes custom design and build, hosting, routine updates, security, and ongoing site management according to your core subscription and any selected add-ons.
SEO Scope. The core subscription includes on-page SEO fundamentals such as semantic HTML structure, clean URLs, page titles, meta descriptions, image alt text, internal linking, sitemap setup, indexing support where applicable, and performance best practices. SEO services are limited to the website we design and manage and do not include off-site SEO activities.
CRM, Forms & Email Features. The core subscription may include standard lead capture, contact forms, and basic CRM setup for site-related inquiries. More advanced follow-up systems, segmentation, behavior-based workflows, SMS automation, or more involved email automation may require CRM & Automation Pro or custom scope review.
Webemerg provides configuration and technical support for the CRM, form, and automation features included in your subscription scope. Content creation, list growth, campaign strategy, timing, audience targeting, and legal compliance for email or SMS messaging remain the client’s responsibility.
Restaurant Functionality. Standard restaurant website content may fit inside the core subscription when the site is straightforward. Restaurant-specific flows such as advanced digital menus, ordering setup, reservations, location-specific workflows, QR table menus, or other restaurant-focused functionality may require the Restaurant Add-On or custom scope review.
Store Functionality. Standard store setup may be included within the core subscription when the catalog and product structure remain within the published core scope. Larger catalogs, advanced product variations, subscriptions, bundles, personalization, custom checkout fields, or advanced product logic may require Store Expansion or custom scope review.
Memberships & Courses. Membership, protected content, and course-style functionality are not treated as a separate public plan. These needs may be available through the Memberships & Courses add-on or through custom scope review, depending on the size and complexity of the project.
Not a Marketing Agency. Webemerg does not provide full-service marketing or advertising. The following are outside the scope of our subscriptions unless explicitly agreed in writing:
We may integrate or embed supported third-party tools when included in your subscription scope, but their configuration beyond initial setup, content, spend, compliance, data, and results remain your responsibility. Webemerg does not operate campaigns on your behalf unless separately agreed in writing.
No Performance Guarantees. While we follow best practices for UX and SEO, Webemerg does not guarantee specific rankings, traffic, conversions, sales, leads, or revenue outcomes. Results depend on many factors outside our control, including your industry, content, competition, market demand, and third-party platforms. You are responsible for ensuring that all business messaging and email or SMS use comply with applicable laws and platform policies.
To maintain project momentum, clients must participate actively throughout the website build process. This includes completing intake forms, reviewing drafts, and responding to revision requests.
While we work to stay on track with every project, delays in client response or material submission may cause timelines to shift, and this is not considered a service failure.
Clients are responsible for submitting all necessary materials, such as logos, images, product info, and copy, in a timely manner. The build process cannot proceed without these assets.
All official communication should be conducted through the Webemerg client portal, email, or other approved channels. Response time expectations will be clearly outlined within the project dashboard.
Timely approvals and feedback are essential to staying on schedule. If client approvals or responses are delayed, the project may be placed on hold. Webemerg is not responsible for delays caused by prolonged client inactivity.
Webemerg may pause your project if we do not receive a response to requests that are required in order to move forward. This includes approvals, feedback, or content submissions tied to specific stages of the project.
Since each phase depends on timely input, we cannot continue development until we hear back from you. Extended silence may significantly delay your timeline.
You represent that all content you provide to Webemerg (text, images, videos, logos, etc.) is either owned by you or that you have obtained proper rights and permissions for its use. You grant Webemerg a non-exclusive license to use this content solely for the purpose of creating and maintaining your website.
All design, layout, code, and custom elements created by Webemerg during your subscription remain the intellectual property of Webemerg. You are granted a license to use the website for as long as your subscription remains active and in good standing. Ownership of the final website does not transfer to the client. Upon cancellation or expiration of your subscription, your license to use the site and all associated assets ends.
We may use licensed stock images or third-party assets as part of your website. These are covered by Webemerg’s commercial use licenses and may not be extracted, reused, or redistributed outside of the site we build and host for you.
Clients may not reuse, duplicate, or distribute Webemerg-created designs, layouts, templates, or code for other websites, platforms, or projects without prior written consent.
If your subscription is canceled or expires, your license to use the Webemerg-created website also ends. You may not copy or migrate the website, in part or in whole, to another platform. See Section 2 for information about data storage and restoration.
To maintain quality, consistency, and alignment with Webemerg’s creative direction, we reserve the right to decline any project that falls outside the scope of industries we support.
We do not build websites for the following:
📌 Creative & Ethical Focus
Churches or Faith-Promoting Organizations: We generally do not build websites for churches, religious ministries, or organizations primarily focused on promoting or teaching a specific faith. Service-based nonprofits with faith-based roots may be considered if their work is primarily humanitarian or community-focused rather than religious instruction or promotion.
Our decision to accept or decline a website project is based solely on the subject matter and intended messaging of the site, not on the identity, beliefs, or background of the client. Even if a business or service appears generally neutral, we may still decline projects where the primary focus, marketing language, or visual content promotes or campaigns for topics outside our accepted scope.

For example, while we may accept a general bakery business, we would not accept a website that uses that business to advocate for controversial event types or political or social causes. This policy ensures we remain focused on our team’s strengths and uphold our standards of quality and alignment.

During the signup or checkout process, you may be prompted to accept these Terms of Service before completing your subscription. By accepting, you confirm that your project complies with these industry guidelines.

Webemerg collects only the information necessary to provide and support your website service. This may include your name, contact information, business details, branding assets, account credentials, website content, and files submitted through our forms, dashboard, or approved communication channels.
We use your information strictly to build, deliver, maintain, support, and improve your website service, communicate project and account updates, and manage billing and operational needs related to your subscription.
Access to your data is limited to authorized Webemerg team members directly involved in your project or account support. We do not sell or rent your personal or business information. We may share necessary information with trusted third-party providers only to the extent required to deliver services such as hosting, domain registration, infrastructure, client portal functionality, analytics, payment processing, or related operational tools. These providers are subject to their own terms and privacy practices.
We implement commercially reasonable security measures to protect your data, including SSL encryption, server-level protections, access controls, and other standard safeguards appropriate to the services we provide. While no system can be guaranteed completely secure, Webemerg follows reasonable best practices to reduce the risk of unauthorized access, data loss, or misuse.
Clients are responsible for maintaining the confidentiality of any login credentials or account access provided to them. If you suspect unauthorized access, account misuse, or a possible security issue related to your account or website, you must notify Webemerg promptly.
If your subscription ends or your website is canceled, Webemerg will retain your website data for up to 30 days to allow for possible restoration or reactivation, as outlined in Section 2. After that retention period, your stored website data may be permanently deleted from our systems, including applicable backups, unless otherwise required for legitimate operational, legal, or billing purposes.
By subscribing to our services, you agree to receive emails and system messages related to your account, project status, billing, service updates, support, and other operational matters. You may not opt out of service-critical communications while an active subscription is in place.
Support is primarily managed through the client portal using Webemerg’s built-in request and ticketing system. All support requests must be submitted through the portal to ensure accurate tracking, prioritization, and accountability, even if a call is scheduled or completed.
Clients may request a call directly from their dashboard when available; however, calls are supplemental and do not replace the requirement to log support needs through the system.
Support includes standard updates, enhancements, and fixes within your active subscription scope. This may include:

We maintain a respectful and professional communication environment. Abusive language, harassment, or misuse of our support system may result in restricted access to support or full cancellation of your service. In the event of cancellation due to such violations, no refunds will be issued.
Our systems include ongoing monitoring to ensure your website remains live and functioning as expected. In the event of a critical issue, such as downtime or a major display error, our team is alerted and takes action as quickly as possible.
While standard support operates within regular business hours, urgent issues flagged through your client portal or live chat will be prioritized for prompt attention. Be sure to mark your message as URGENT when submitting a request to help us route it correctly.
Webemerg provides its services on an “as-is” and “as-available” basis. While we make every effort to provide reliable service and a high-quality managed website experience, we do not guarantee uninterrupted availability, error-free performance, or that our services will meet every specific business goal, expectation, ranking target, or outcome.
To the fullest extent permitted by law, Webemerg shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of revenue, profits, business opportunities, goodwill, or data, arising out of or related to the use of, inability to use, or performance of our services, even if we were advised of the possibility of such damages.
To the fullest extent permitted by law, Webemerg’s total liability for any claim, action, or loss arising out of or related to these Terms or your use of our services shall not exceed the total amount you paid to Webemerg in the three (3) months immediately preceding the event giving rise to the claim.
Webemerg is not liable for issues, outages, delays, interruptions, data loss, or damages caused by third-party providers, platforms, plugins, integrations, payment processors, registrars, hosting infrastructure, or other external services, whether selected by Webemerg, requested by the client, or otherwise connected to the website.
Webemerg shall not be responsible for delays, failures, or interruptions caused by circumstances beyond our reasonable control, including natural disasters, internet outages, cyberattacks, labor disruptions, utility failures, government actions, legal or regulatory changes, vendor failures, or other force majeure events.
Webemerg reserves the right to update or modify these Terms of Service at any time. Any changes will be effective immediately upon posting to our website unless otherwise specified. Your continued use of our services after changes are made constitutes your acceptance of the revised terms.
Significant changes to the Terms may be communicated via your client portal, email, or website notice. It is your responsibility to review the Terms periodically.
These Terms of Service shall be governed by and interpreted in accordance with the laws of the State of Wisconsin, United States, without regard to its conflict of law principles.
Any disputes arising from or related to these Terms or the use of Webemerg’s services must first be addressed through informal resolution by contacting support@webemerg.com. If the matter cannot be resolved informally, both parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Waukesha County, Wisconsin.
Any claim or cause of action arising out of or related to use of the services or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
By subscribing to Webemerg’s services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
